These Terms and Conditions ("Terms") govern your use of the Thornbury website at thornburys.world ("Site") and, together with an applicable engagement letter, govern the delivery of consulting services by Thornbury. By accessing the Site or engaging Thornbury's services, you confirm that you have read, understood, and agree to these Terms.

Acceptance of Terms

By using this Site, you confirm that you are at least 18 years of age and have authority to enter into these Terms on behalf of any organisation you represent. If you do not agree with these Terms, please discontinue use of the Site immediately.

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the Site following any update constitutes acceptance of the revised Terms.

Consulting Engagements

All consulting engagements are governed by a separate written engagement letter, which sets out the specific scope, deliverables, timeline, fee, and terms applicable to that engagement. These Terms apply to the extent not superseded by the engagement letter.

Thornbury's consulting services constitute professional advisory services. Our deliverables represent our professional opinion at the time of delivery and are based on the information available during the engagement. They are not a warranty of any particular outcome.

Where client-provided information is found to be materially inaccurate or incomplete, Thornbury reserves the right to revise or withdraw its deliverables, or to adjust the scope and fee of the engagement.

Fees and Payment

Fees for consulting engagements are set out in the applicable engagement letter and are payable in Hong Kong Dollars (HKD) unless otherwise agreed in writing.

Website pricing information is for indicative purposes and does not constitute an offer. All engagements are confirmed by written engagement letter.

Intellectual Property

All content on this Site — including text, design, graphics, and structure — is the intellectual property of Thornbury and is protected by applicable laws. Unauthorised reproduction is not permitted.

Engagement deliverables (including reports, assessments, and strategic documents) are produced for the exclusive use of the commissioning client. Clients may use deliverables internally without restriction but may not distribute them externally or attribute them publicly to Thornbury without prior written consent.

Thornbury retains the right to use anonymised engagement insights for the purposes of methodology development and general professional improvement, subject to client confidentiality obligations.

Confidentiality

Thornbury treats all client information as strictly confidential. We will not disclose client information to third parties without prior written consent, except where required by law or regulation.

Clients are requested to treat Thornbury's methodologies, analytical frameworks, and proprietary materials as confidential and not to disclose them to competitors or use them for purposes beyond the original engagement.

Where engagements involve sensitive personal data (such as in succession assessments), specific confidentiality protocols will be agreed in writing at the outset of the engagement.

Limitation of Liability

To the fullest extent permitted by Hong Kong law:

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

Termination

Either party may terminate an engagement in accordance with the terms set out in the applicable engagement letter. In the absence of specific termination provisions, either party may terminate on 14 days' written notice.

On termination, the client is responsible for fees covering work completed to the date of termination. Thornbury will provide a written summary of work completed and any partial deliverables available at that stage.

Governing Law and Disputes

These Terms, and any engagement governed by them, are subject to the laws of the Hong Kong Special Administrative Region. The parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any dispute.

Before initiating formal proceedings, both parties agree to make a good-faith effort to resolve disputes through direct discussion.
